Notstocks is an 18+ prediction market: you stake money on the movement of prices we generate, and every position is a wager, not an investment in any company. These Terms explain how the game works, how odds and prices are set, how money moves in and out, the responsible-gambling tools available to you, what is prohibited, and how liability is allocated. Please read them carefully — they contain important limitations and a gambling risk disclosure.

1The agreement between you and Notstocks

These Terms & Conditions (the "Terms") form a binding agreement between you and Notstocks ("Notstocks", "we", "us", "our"), the operator of notstocks.com and all related sites, applications and interfaces (together, the "Platform"). By creating an account, ticking the acceptance box at sign-up, depositing funds, placing an order, submitting a listing or otherwise using the Platform, you confirm that you have read, understood and accepted these Terms in full.

If you do not accept these Terms, you must not use the Platform. Continued use after a change to the Terms constitutes acceptance of the changed version.

These Terms incorporate by reference our Privacy Policy, any listing conditions shown at the point of submission, any payment terms displayed at deposit or withdrawal, and any rules or notices published on the Platform. Where a conflict exists, these Terms prevail unless the other document expressly states otherwise.

2What Notstocks is — a prediction market, not a stock market

Notstocks is an entertainment prediction market. Users stake money on the direction of Platform-generated prices referencing publicly identifiable companies, websites and brands. In substance, every position you take is a wager: you stake an amount, the outcome depends on the movement of a Platform-generated price, and you win or lose money accordingly. Wagers in the same listing are netted between users to the extent opposing stakes exist (long positions against short positions), and for the remaining, unbalanced part of a market Notstocks acts as your counterparty through its pricing engine and automated participants.

The words "trade", "buy", "sell", "long", "short", "position", "portfolio" and "price" are used throughout the Platform interface as familiar shorthand for the mechanics of this wagering product. They do not change its legal nature. Nothing you do on the Platform involves the purchase, sale, custody or ownership of securities, and no ownership of anything is ever transferred to you.

The Platform is not a securities exchange, alternative trading system, multilateral trading facility, broker, dealer, bank, custodian, money transmitter, payment institution, fund manager or investment adviser, and it does not offer contracts for difference, spread betting on financial instruments, or any other regulated financial product.

A position on Notstocks is a wager recorded as a contractual entry in our books. It is not, and never becomes:

  • a share, equity interest, stock, unit or membership interest in any company;
  • a bond, note, debenture, derivative contract or other regulated financial instrument;
  • a claim against, or a right to any payment, dividend, distribution or information from, any referenced company;
  • a right to vote, to attend meetings, to receive reports, or to participate in any corporate action;
  • a stored-value instrument, deposit account or e-money balance;
  • an investment, a savings product, or any means of building wealth.

Prices are generated solely by our own mechanism — automated analysis of publicly available signals combined with staking activity on the Platform, including activity from automated participants operated by or for Notstocks. They function as the odds of this game. Prices on the Platform do not represent, estimate, predict or track the actual valuation, revenue, funding, performance or prospects of any referenced company, and no referenced company is traded, offered or made available for investment here.

Nothing on the Platform is investment advice, financial advice, tax advice, legal advice or a recommendation, solicitation or offer to buy or sell any financial instrument. Notstocks is a game of chance and skill played for entertainment. You must treat any money staked as money spent on entertainment, not as an investment.

3No affiliation with referenced companies

Company names, brands, logos, tickers and descriptions appearing on the Platform are used for identification and commentary only. Their appearance does not imply any partnership, sponsorship, endorsement, authorisation, affiliation or approval by the referenced company, unless the Platform expressly states that the company has claimed its listing.

All third-party trademarks remain the property of their respective owners. If you are an authorised representative of a referenced company and object to a listing, contact legal@notstocks.com and we will review the listing in accordance with section 12.

4Age limits, eligibility, accounts and verification

Notstocks is strictly an 18+ product. Gambling by anyone under 18 is prohibited, and we will close any account we believe belongs to a minor and void the associated wagers.

To open and keep an account you must: be at least 18 years old (or the higher minimum gambling age where you live); have full legal capacity to enter into this agreement; act on your own behalf and not for an undisclosed third party; not be self-excluded from gambling with us or registered with a national self-exclusion scheme that applies to us; and not be located in, resident of, or acting on behalf of any person in a jurisdiction where online betting or prediction markets are prohibited or where your use would breach any law, including any sanctions regime administered by the EU, the United Nations, the United Kingdom or the United States.

Availability of the Platform in a given country is not a representation that it is lawful for you to place wagers there. It is your responsibility to check your local gambling law before you stake anything, and you bear all consequences of using the Platform where it is not permitted.

You must provide accurate, current and complete information and keep it up to date. You may hold exactly one account unless we approve otherwise in writing. Accounts are personal and non-transferable.

We may at any time, at our discretion and without giving reasons, require age verification, identity verification, proof of address, proof of source of funds or source of wealth, and we may restrict deposits, withdrawals, staking or account access until that verification is completed to our satisfaction.

You are responsible for maintaining the confidentiality of your credentials and for everything that happens under your account. Notify us immediately at security@notstocks.com if you suspect unauthorised access.

5How prices (odds) are set, market mechanics and automated participants

The price of a listing is the odds of this game, set entirely by us. Every new listing opens at a fixed reference price set by the Platform. Thereafter the price moves according to our internal mechanism, which may include: automated periodic analysis of publicly available signals about the referenced company; the net effect of users staking in each direction; smoothing, dampening, floors, ceilings and daily movement limits; and stakes placed by automated participants operated by or for Notstocks.

You expressly acknowledge and accept that:

  • opposing wagers between users in the same listing are netted against each other, and Notstocks or its affiliates act as your counterparty for the unbalanced remainder of each market, and therefore may profit when users lose (or lose when users win);
  • Notstocks or its affiliates may place stakes on the Platform, including continuous two-sided automated activity, and may hold positions in any listing;
  • such activity affects displayed prices, volumes and history, and is an intended feature of the game, not a defect;
  • the parameters of the pricing mechanism are proprietary and may be changed, recalibrated, paused or replaced at any time without notice;
  • displayed prices, charts, percentage changes, volumes, ratings and analytical commentary are entertainment and information only, may contain errors or delays, and are not guaranteed to be accurate, complete or timely.

Automated analysis is produced in part by machine-learning systems. Such output may be incomplete, outdated or wrong, may misattribute information, and must not be relied upon as a statement of fact about any company.

6Placing and settling wagers, stakes, fees and limits

When you open a position you place a wager: the amount you commit is your stake, and it is accepted by us at the price determined by our mechanism at the moment of acceptance. When you close a position, the wager settles against the price at that moment and the proceeds, less fees, are credited to your balance. You have no right to a particular price, to price improvement, to best execution, to priority or to acceptance of any wager at all. Wagers may be delayed, rejected, partially accepted, cancelled or voided where we identify error, abuse, malfunction or suspected breach of these Terms.

A fee (shown in the interface as a trading fee) is charged on each accepted and each settled wager at the rate displayed on the Platform at the time. We may change fee rates prospectively by updating the Platform. Additional fees may apply to deposits, withdrawals, inactivity, listings and paid services, as displayed at the relevant time.

Short positions, where offered, carry the risk of forced settlement (liquidation) when the position reaches the liquidation threshold shown on the Platform. Liquidation may occur automatically, at any time, without prior notice, and results in the total loss of the stake committed to that position.

We may impose and change stake limits, position limits, loss limits, deposit limits, rate limits, cool-down periods, market pauses and suspension of individual listings, at any time and without notice, including for player-protection reasons and to protect the integrity of the Platform.

Manifest error: where a price, balance, position, fee or wager is produced by a technical fault, data error, mispricing or manipulation, we may void, adjust, reverse or re-settle the affected transactions and correct balances accordingly. Our determination of a manifest error is final, subject to your right to complain under section 18.

7Responsible gambling

Notstocks is entertainment and can be addictive. Only stake money you can afford to lose entirely. Never stake money you need for living costs, never stake to recover losses, and never stake while under the influence of alcohol or drugs or while in emotional distress.

Player-protection tools: you may at any time ask us, by writing to support@notstocks.com, to apply a deposit limit, a loss limit, a stake limit, a cooling-off period of 24 hours to 30 days, or self-exclusion for a minimum of six months. Requests to tighten a limit or to self-exclude take effect as soon as we can reasonably apply them; requests to loosen or lift a limit take effect only after a cooling-off period of at least 24 hours, and self-exclusion cannot be lifted before the chosen period ends.

During self-exclusion we will block account access and staking, stop marketing to you, and return any withdrawable balance subject to verification. We may also impose limits, restrict activity or close an account on our own initiative where we see indicators of harmful gambling.

If gambling is causing you problems, seek help. Free, confidential support is available from your national gambling support line or self-exclusion scheme, in the United Kingdom from GamCare (gamcare.org.uk) and GAMSTOP, and internationally through Gamblers Anonymous (gamblersanonymous.org) and BeGambleAware (begambleaware.org).

8Deposits, balances, winnings and withdrawals

Deposits are processed by third-party payment providers. Your use of those providers is subject to their own terms; we are not responsible for their acts, omissions, fees, exchange rates, delays or refusals. Funds are credited only once the provider confirms the payment as settled to us.

Money you deposit is money available for staking. Balances shown in your account are records of amounts held by us for your benefit under this agreement. Balances: are not an investment or a bank deposit; are not covered by any deposit guarantee or investor compensation scheme; do not bear interest; and are denominated in the display currency shown on the Platform.

Winnings are credited to your balance when a wager settles. We may withhold or void winnings that arise from a manifest error, a void wager, prohibited conduct, an underage account or a breach of these Terms.

Withdrawals must be requested through the Platform and are subject to review, verification, minimum and maximum amounts, processing windows, network and provider fees, and applicable law. We may delay, decline or partially settle a withdrawal where we reasonably suspect fraud, abuse, error, a breach of these Terms, or where required by law or by a competent authority.

Withdrawals are normally returned via the payment route used for the deposit where required by anti-money-laundering rules. Crypto payments are irreversible; you are solely responsible for the accuracy of any address you provide, and we cannot recover funds sent to an address you supplied incorrectly.

Chargebacks, payment reversals and fraudulent funding will result in immediate account suspension, settlement of open positions and set-off of the disputed amounts against your balance. You are liable for all costs we incur as a result.

We may deduct from your balance any amount you owe us, any amount credited in error, and any amount arising from voided or reversed wagers.

Dormant accounts: where an account is inactive for a prolonged period we may, after notifying you at your registered email, apply an inactivity fee or close the account and return any remaining balance in accordance with applicable law.

9Taxes on winnings

You are solely responsible for determining, reporting and paying any tax arising from your activity on the Platform, including any tax on gambling winnings, in every jurisdiction in which you are liable. We do not provide tax advice and do not withhold tax on your behalf unless required by law. Where we are required to report information about you to a tax authority, we will do so.

10Listings, paid listings and claims

Any user may propose a company or website for listing. Submissions are reviewed at our sole discretion and may be approved, rejected, delayed, edited or removed for any reason or no reason. Submission does not create any entitlement to a listing.

Where you submit content for a listing — including names, descriptions, logos and links — you confirm that you have the right to do so and you grant Notstocks a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, display, reproduce, adapt and distribute that content on and in connection with the Platform, for as long as we operate it.

Paid listings: where you purchase a paid listing at the price displayed, the listing is prioritised for review and, once payment is confirmed by us, the purchasing account is recorded as the holder of the associated revenue-share entitlement described on the Platform. That entitlement:

  • applies only to the share, and only to the categories of fees, expressly described at the point of purchase;
  • excludes fees generated by automated participants operated by or for Notstocks, and any fees we deem to arise from abusive, self-dealing or wash activity;
  • is discretionary as to timing and method of settlement, subject to minimum payout thresholds;
  • may be reduced, suspended or terminated where the listing is removed, where the holder breaches these Terms, or where the referenced company's verified representative claims the listing.

Verified-owner claims: where a person demonstrates to our satisfaction that they are authorised to act for the referenced company, we may transfer or revoke a listing claim, with or without compensation to the previous holder. Paid listing fees are non-refundable except where expressly stated or required by law.

You may not list a company in order to manipulate a market, to harass, to defame, to infringe intellectual property, or in breach of any law.

11Prohibited conduct and market abuse

You must not, directly or indirectly:

  • create multiple or nominee accounts, or trade in concert with others, to influence prices, fees, rewards or revenue shares;
  • engage in wash trading, self-dealing, spoofing, layering, front-running, price pinning, or any pattern of activity whose main purpose is to distort prices, volumes or entitlements;
  • exploit a bug, latency, rounding behaviour, pricing anomaly, promotional error or API defect — you must report it to security@notstocks.com and must not trade on it;
  • use bots, scrapers, crawlers, headless browsers or automated tooling against the Platform without our written consent, or exceed published rate limits;
  • reverse engineer, decompile, probe, penetration-test, overload or circumvent any security or access control of the Platform;
  • use the Platform to launder money, finance terrorism, evade sanctions, evade tax, or commit or facilitate any offence;
  • upload unlawful, defamatory, infringing, deceptive or harmful content, or impersonate any person or entity;
  • resell, sublicense, frame, mirror or commercially redistribute the Platform, its data, prices or analytical output without our written consent.

We monitor activity for abuse. Where we reasonably determine that prohibited conduct has occurred, we may — without notice and in addition to any other remedy — void or reverse affected trades, confiscate gains directly attributable to the conduct, suspend or close the account, withhold balances pending investigation, and report the matter to the authorities.

12Suspension, closure and termination

You may close your account at any time by written request, subject to settlement of open positions and completion of any verification required to release your balance.

We may suspend, restrict or terminate your access, in whole or in part, immediately and without notice, if: we suspect a breach of these Terms or of any law; verification is incomplete or unsatisfactory; we are required to do so by a court, regulator or payment provider; there is a risk of fraud, abuse or loss to us or other users; the account is inactive for a prolonged period; or we cease to operate the Platform or a part of it.

On termination, your right to use the Platform ends immediately, open positions may be closed at the then-current price, and any remaining balance will be returned to you subject to verification, lawful deductions and set-off. Sections that by their nature should survive termination (including sections 2, 3, 10, 13, 14, 15, 16, 17, 19 and 20) survive.

We may discontinue the Platform, any listing, any feature or any market entirely, at any time, closing open positions at the then-current price. We are not liable for any loss arising from such discontinuation.

13Availability, changes and beta features

The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, timely, secure or error-free operation. Maintenance, outages, network failures, third-party failures, force majeure events and emergency interventions may prevent you from accessing the Platform or closing a position, and prices may move meanwhile.

We may add, change, restrict or remove features, markets, listings, fee levels, limits and mechanics at any time. Where a change is materially adverse to you and is not required by law, security or risk management, we will use reasonable efforts to notify you in advance through the Platform or by email.

Features labelled beta, experimental or preview may be unstable and may be withdrawn without notice.

14Intellectual property and your content

The Platform, including its software, design, text, graphics, data compilations, price series, analytical output, models and brand elements, is owned by Notstocks or its licensors and is protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for your own personal, non-commercial use, strictly in accordance with these Terms.

You retain ownership of content you submit. You grant us the licence described in section 9 for any content you submit anywhere on the Platform. You warrant that your content does not infringe any third-party right and is not unlawful.

Feedback you provide may be used by us without restriction and without obligation to you.

15Gambling risk disclosure and acknowledgement

You acknowledge and accept that:

  • Notstocks is gambling: every position is a wager, not an investment, and it has a negative expected return over time because of fees and our role as counterparty for the unbalanced part of each market;
  • you may lose the entire amount you stake, and you should only stake amounts you can afford to lose entirely;
  • prices (odds) are produced by a proprietary mechanism, can move sharply in either direction, and can be affected by automated participants operated by or for Notstocks;
  • there is no guaranteed liquidity, no guaranteed counterparty and no guaranteed settlement price;
  • a market, listing or the Platform may be paused, delisted or closed at any time, and positions may be settled at a price you consider unfavourable;
  • automated analysis may be inaccurate, incomplete or misleading, and nothing on the Platform tells you anything reliable about a real company;
  • you are not protected by any investor compensation scheme, deposit guarantee, market-abuse regime or financial ombudsman in respect of your activity here;
  • gambling can be addictive and can cause financial and personal harm; the tools and support described in section 8 are available to you at any time.

16Disclaimer of warranties

To the maximum extent permitted by law, we disclaim all warranties, conditions, representations and terms of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, quiet enjoyment, or that the Platform will meet your requirements or be available, secure or error-free.

No advice or information obtained from us or through the Platform creates any warranty not expressly stated in these Terms.

17Limitation of liability

To the maximum extent permitted by law, Notstocks, its owners, directors, employees, agents, suppliers and licensors shall not be liable for: loss of profit, loss of expected gain, loss of opportunity, loss of goodwill, loss of data, loss of anticipated savings, business interruption, or any indirect, special, incidental, punitive or consequential loss, however arising, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms and your use of the Platform, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the greater of (a) the total trading fees you actually paid to us in the three (3) months immediately preceding the event giving rise to the claim, and (b) one hundred (100) US dollars.

We are not liable for losses caused by: your own decisions; price movements; automated participants; analytical output; outages, latency or connectivity; third-party payment providers, banks or blockchains; your failure to keep credentials secure; or events beyond our reasonable control.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any mandatory statutory right of a consumer.

18Indemnity

You agree to indemnify and hold harmless Notstocks and its owners, directors, employees and agents from and against all claims, demands, proceedings, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with: your use of the Platform; your breach of these Terms or of any law; content you submit, including listing submissions; your tax obligations; and any third-party claim relating to your activity.

19Consumer rights and right of withdrawal

Where you use the Platform as a consumer, you keep all mandatory rights available to you under the law of your place of residence, and nothing in these Terms removes those rights.

Where you purchase a digital service from us (for example a paid listing) and consumer-withdrawal rules apply, you expressly request that we begin performance immediately and acknowledge that your right of withdrawal is lost once the service has been fully performed, to the extent permitted by law.

20Complaints

Send complaints to legal@notstocks.com with your account email, a description of the issue, relevant timestamps and the outcome you seek. We aim to acknowledge complaints within five (5) business days and to resolve them within thirty (30) days. Escalations are handled by our management. Making a complaint does not suspend your obligations under these Terms.

21Governing law, disputes and class-action waiver

These Terms and any dispute arising out of or in connection with them, including non-contractual disputes, are governed by the laws of Anjouan, an autonomous island of the Union of the Comoros, without regard to conflict-of-law rules. The courts of Anjouan have exclusive jurisdiction, except that a consumer may also bring proceedings in the courts of their place of residence where mandatory law so provides.

To the maximum extent permitted by law, you and Notstocks each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding.

Any claim must be brought within twelve (12) months of the date on which you first became aware, or reasonably should have become aware, of the facts giving rise to it, to the extent that such a limitation is permitted by law.

22Changes to these Terms and general provisions

We may amend these Terms at any time by publishing an updated version with a new "last updated" date. Material changes will, where reasonably practicable, be notified through the Platform or by email before they take effect. Your continued use after the effective date constitutes acceptance. If you do not accept a change, you must stop using the Platform and may close your account.

Entire agreement: these Terms, together with the documents referenced in section 1, are the entire agreement between us and supersede all prior understandings.

Severability: if any provision is held unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions stay in force.

No waiver: our failure to enforce a right is not a waiver of it.

Assignment: you may not assign or transfer your rights or obligations. We may assign these Terms to an affiliate or in connection with a merger, reorganisation or sale of assets.

Third parties: no person other than you and Notstocks has any right to enforce these Terms, except that our owners, directors, employees, agents, suppliers and licensors may enforce sections 15 and 16.

Language and notices: these Terms are drafted in English, which governs. Notices to you are given through the Platform or to your registered email; notices to us go to legal@notstocks.com.

Force majeure: we are not liable for any failure or delay caused by events beyond our reasonable control, including outages, cyber-attacks, blockchain or payment-network failures, natural events, war, industrial action, or acts of government.

These terms work together with our other policies. Read the Terms & Conditions and the Privacy Policy before you use Notstocks.
